Mumbai-based multinational pharmaceutical company Cipla recently said that its subsidiary, Cipla Health Limited (CHL), will acquire the cosmetics and personal care distribution and marketing business from Ivia Beaute Private Limited. 

The deal, which is valued at Rs 130 crore, will include the well-known brands Astaberry, Ikin, and Bhimsaini on a worldwide basis.

Enhancing consumer healthcare portfolio

The acquisition is part of Cipla's strategy to enhance its consumer healthcare and wellness portfolio.

Shivam Puri, CEO and Whole-Time Director of CHL highlighted that this acquisition reinforces CHL’s position in the growing beauty and personal care sector and leverages its established network in Tier 2-6 cities across India.

"Our target consumer base is discerning and seeks variety, especially when it comes to new brands in personal care. Integrating Astaberry, Ikin and Bhimsaini into our portfolio seamlessly complements our existing offerings across key OTC/consumer healthcare categories, empowering us to deliver comprehensive solutions that cater effectively to the diverse everyday needs of our consumers," Puri added.

Financial details of the deal

The transaction is structured with an upfront cost of Rs 130 crore, with an additional Rs 110 crore contingent upon achieving specific financial targets over the next three years. The deal is anticipated to close within 60 days from the signing of the Business Transfer Agreement (BTA), subject to the fulfilment of predefined conditions.

Impact on Cipla's portfolio

The integration of Astaberry, Ikin, and Bhimsaini will complement CHL’s existing product range, which includes categories such as Smoking Cessation, Cough and Cold Therapies, Pain Care, and Skin and Hair Care. Particularly, Astaberry has been a notable player in the skincare segment for over 16 years, offering a variety of products tailored to consumer needs.

With the acquisition, CHL aims to expand its reach and deepen its market penetration in the beauty and personal care category, utilizing its strong distribution channels and consumer insights to foster growth.
